generate-in-text="no"><Text><DefinedTermEn>Act</DefinedTermEn> means the <XRefExternal reference-type="act" link="F-7.7">Federal Prompt Payment for Construction Work Act</XRefExternal>. (<DefinedTermFr>Loi</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430325" lims:id="1430325" generate-in-text="no"><Text><DefinedTermEn>party</DefinedTermEn> means a party to a dispute. (<DefinedTermFr>partie</DefinedTermFr>)</Text></Definition></Section><Heading lims:inforce-start-date="2023-12-08" lims:enacted-date="2023-12-08" lims:fid="1430326" lims:id="1430326" level="1"><TitleText>Proper Invoice and Notice of Non-Payment</TitleText></Heading><Section lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:lastAmendedDate="2023-12-09" lims:fid="1430327" lims:id="1430327"><MarginalNote lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430328" lims:id="1430328">Proper invoice</MarginalNote><Label>2</Label><Text>In addition to meeting any requirements under the Act or set in the contract, a proper invoice must include the following information:</Text><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430329" lims:id="1430329"><Label>(a)</Label><Text>the date of the invoice and the name, street and mailing address, telephone number and email address of the contractor that performed the construction work;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430330" lims:id="1430330"><Label>(b)</Label><Text>the period during which the materials or services were supplied;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430331" lims:id="1430331"><Label>(c)</Label><Text>the contract number or other authorization under which the materials or services were supplied;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430332" lims:id="1430332"><Label>(d)</Label><Text>a description, including the quantity, if applicable, of the materials or services supplied;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430333" lims:id="1430333"><Label>(e)</Label><Text>the amount payable for the services or materials supplied and the payment terms; and</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430334" lims:id="1430334"><Label>(f)</Label><Text>the name, title, street and mailing address, telephone number and email address of the person to which payment must be made.</Text></Paragraph></Section><Section lims:inforce-start-date="2023-12-09" lims:fid="1430336" lims:id="1430336">Notice of non-payment</MarginalNote><Label>3</Label><Text>A notice of non-payment must indicate, in addition to the information set out in section 13 of the Act, the amount to be paid that is not in dispute.</Text></Section><Heading lims:inforce-start-date="2023-12-08" lims:enacted-date="2023-12-08" lims:fid="1430337" lims:id="1430337" level="1"><TitleText>Adjudicators</TitleText></Heading><Section lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:lastAmendedDate="2023-12-09" lims:fid="1430338" lims:id="1430338"><MarginalNote lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430339" lims:id="1430339">Adjudicator Authority — powers, duties and functions</MarginalNote><Label>4</Label><Text>The Adjudicator Authority has the following powers, duties and functions:</Text><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430340" lims:id="1430340"><Label>(a)</Label><Text>develop and provide initial training and continuing education for adjudicators;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430341" lims:id="1430341"><Label>(b)</Label><Text>issue, renew, suspend or cancel certifications for adjudicators;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430342" lims:id="1430342"><Label>(c)</Label><Text>ensure that adjudicators meet all eligibility and criteria set out in these Regulations;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430343" lims:id="1430343"><Label>(d)</Label><Text>maintain a publicly accessible list of adjudicators, including their qualifications;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430344" lims:id="1430344"><Label>(e)</Label><Text>establish and maintain a fee schedule that reflects the experience of the adjudicator and the complexity of the dispute;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430345" lims:id="1430345"><Label>(f)</Label><Text>regulate the conduct of adjudicators, including by establishing a code of conduct;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430346" lims:id="1430346"><Label>(g)</Label><Text>address complaints against adjudicators respecting breaches of the code of conduct, including by establishing a complaints procedure;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430347" lims:id="1430347"><Label>(h)</Label><Text>consider the circumstances in which an adjudicator is not required to determine a dispute under paragraph 5(d) of the <XRefExternal reference-type="regulation" link="SOR-2023-269">Federal Prompt Payment for Construction Work Regulations (Criteria, Time Limits, Interest and Circumstances)</XRefExternal>; and</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430348" lims:id="1430348"><Label>(i)</Label><Text>if an adjudicator can no longer determine a dispute for one of the circumstances set out in section 5 of the <XRefExternal reference-type="regulation" link="SOR-2023-269">Federal Prompt Payment for Construction Work Regulations (Criteria, Time Limits, Interest and Circumstances)</XRefExternal>, appoint their replacement.</Text></Paragraph></Section><Section lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:lastAmendedDate="2023-12-09" lims:fid="1430349" lims:id="1430349"><MarginalNote lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430350" lims:id="1430350">Adjudicator — eligibility and qualifications</MarginalNote><Label>5</Label><Text>An individual must meet the following eligibility criteria in order to be designated as an adjudicator:</Text><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430351" lims:id="1430351"><Label>(a)</Label><Text>they must be an accredited member in good standing with the Adjudicator Authority;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430352" lims:id="1430352"><Label>(b)</Label><Text>they must have at least 10 years of relevant working experience in the construction industry;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430353" lims:id="1430353"><Label>(c)</Label><Text>they must not have been convicted of an indictable offence in Canada or of a comparable offence outside of Canada;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430354" lims:id="1430354"><Label>(d)</Label><Text>they must not be an undischarged bankrupt; and</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430355" lims:id="1430355"><Label>(e)</Label><Text>they must have the appropriate level of security clearance to address the dispute.</Text></Paragraph></Section><Section lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:lastAmendedDate="2023-12-09" lims:fid="1430356" lims:id="1430356"><MarginalNote lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430357" lims:id="1430357">Adjudicator — powers, duties and functions</MarginalNote><Label>6</Label><Subsection lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430358" lims:id="1430358"><Label>(1)</Label><Text>An adjudicator has the following powers, duties and functions:</Text><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430359" lims:id="1430359"><Label>(a)</Label><Text>determine matters in the dispute in an impartial and independent manner;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430360" lims:id="1430360"><Label>(b)</Label><Text>not have any conflicts of interest in the dispute or with the parties;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430361" lims:id="1430361"><Label>(c)</Label><Text>ascertain the relevant facts and law;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430362" lims:id="1430362"><Label>(d)</Label><Text>issue directions respecting the scheduling of the conduct of the adjudication;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430363" lims:id="1430363"><Label>(e)</Label><Text>issue directions respecting any restrictions on the length of written or oral submissions;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430364" lims:id="1430364"><Label>(f)</Label><Text>request that any party provide any documents supporting or supplementing the notice of adjudication;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430365" lims:id="1430365"><Label>(g)</Label><Text>meet and question any of the parties and their representatives;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430366" lims:id="1430366"><Label>(h)</Label><Text>on consent of the parties and subject to any third-party consents, make any site visits or inspections;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430367" lims:id="1430367"><Label>(i)</Label><Text>on consent of the parties and subject to any third-party consents, carry out any tests or experiments;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430368" lims:id="1430368"><Label>(j)</Label><Text>on consent of the parties, appoint any experts or assessors necessary to better determine any fact or issue in the dispute;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430369" lims:id="1430369"><Label>(k)</Label><Text>draw inferences based on the conduct of the parties prior to and during the adjudication; and</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430370" lims:id="1430370"><Label>(l)</Label><Text>issue any other directions so as to promote the expeditious resolution of the adjudication.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430371" lims:id="1430371"><MarginalNote lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430372" lims:id="1430372">Other powers</MarginalNote><Label>(2)</Label><Text>If a party does not comply with any request or direction issued by the adjudicator, the adjudicator may continue the adjudication in the absence of that party and make a decision on the basis of any available information or evidence.</Text></Subsection></Section><Section lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:enacted-date="2023-12-08" lims:fid="1430375" lims:id="1430375" level="1"><TitleText>Adjudication Process</TitleText></Heading><Heading lims:inforce-start-date="2023-12-08" lims:enacted-date="2023-12-08" lims:fid="1430376" lims:id="1430376" level="2"><TitleText>General</TitleText></Heading><Section lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:lastAmendedDate="2023-12-09" lims:fid="1430377" lims:id="1430377"><MarginalNote lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430378" lims:id="1430378">Computation of time</MarginalNote><Label>8</Label><Text>The following periods are excluded from the computation of time in these Regulations:</Text><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430379" lims:id="1430379"><Label>(a)</Label><Text>any holiday as defined in subsection 35(1) of the <XRefExternal reference-type="act" link="I-21">Interpretation Act</XRefExternal>;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430380" lims:id="1430380"><Label>(b)</Label><Text>Saturdays;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430381" lims:id="1430381"><Label>(c)</Label><Text>the nine-day period beginning on December 24 and ending on January 1; and</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430382" lims:id="1430382"><Label>(d)</Label><Text>any construction holiday that is recognized by any provincial government.</Text></Paragraph></Section><Section lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:lastAmendedDate="2023-12-09" lims:fid="1430383" documents</MarginalNote><Label>9</Label><Text>Any document required by these Regulations must be provided by electronic means.</Text></Section><Section lims:inforce-start-date="2023-12-09" lims:fid="1430386" lims:id="1430386">One matter per adjudication</MarginalNote><Label>10</Label><Text>Subject to section <XRefInternal>11</XRefInternal>, each adjudication must address only one matter.</Text></Section><Section lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:lastAmendedDate="2023-12-09" lims:fid="1430387" lims:id="1430387"><MarginalNote lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430388" lims:id="1430388">Consolidated adjudication</MarginalNote><Label>11</Label><Subsection lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430389" lims:id="1430389"><Label>(1)</Label><Text>If related disputes are the subject of separate adjudications, the parties may agree to have those adjudications consolidated and determined by a single adjudicator in which case they must inform the adjudicators concerned.</Text></Subsection><Subsection lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430390" lims:id="1430390"><MarginalNote lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430391" lims:id="1430391">Consolidation required by contractor</MarginalNote><Label>(2)</Label><Text>Despite subsection (1), if the parties to each of the adjudications do not agree to consolidated adjudication, a contractor may require the consolidation of disputes by informing the parties and the adjudicators concerned.</Text></Subsection><Subsection lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430392" lims:id="1430392"><MarginalNote lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430393" lims:id="1430393">Appointment of adjudicator</MarginalNote><Label>(3)</Label><Text>When disputes are consolidated, the following rules apply to the appointment of an adjudicator:</Text><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430394" lims:id="1430394"><Label>(a)</Label><Text>an adjudicator appointed to adjudicate a dispute that is consolidated is considered to have resigned from the adjudication as of the date on which they are informed that it is consolidated; and</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430395" lims:id="1430395"><Label>(b)</Label><Text>an adjudicator who is considered to have resigned under paragraph (a) may be appointed or another adjudicator may be appointed under section <XRefInternal>13</XRefInternal>, <XRefInternal>14</XRefInternal> or <XRefInternal>15</XRefInternal> as the adjudicator for the consolidated adjudication.</Text></Paragraph></Subsection></Section><Section lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:lastAmendedDate="2023-12-09" lims:fid="1430396" seeking to jointly appoint an adjudicator to request that they determine a dispute must communicate, in writing, with that adjudicator within four days after the day on which the notice of adjudication referred to in subsection 16(2) of the Act is received.</Text></Subsection><Subsection lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430402" cannot jointly appoint an adjudicator, either party may request, in writing, that the Adjudicator Authority appoint one.</Text></Subsection><Subsection lims:inforce-start-date="2023-12-09" of adjudicator</MarginalNote><Label>(2)</Label><Text>The Adjudicator Authority has five days after the day on which the appointment request is received to appoint an adjudicator is appointed, inform the parties of the date of that adjudicator’s consent to their appointment, as well as their name, street and mailing address, telephone number and email the day on which consent referred to in subsections <XRefInternal>13</XRefInternal>(2), <XRefInternal>14</XRefInternal>(2) or <XRefInternal>15</XRefInternal>(3) is received, the party that provided the notice of adjudication must send the following documents to the adjudicator and to the other parties:</Text><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430418" lims:id="1430418"><Label>(a)</Label><Text>a copy of the notice of adjudication;</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430419" lims:id="1430419"><Label>(b)</Label><Text>a written statement of the facts on which it intends to rely; and</Text></Paragraph><Paragraph lims:inforce-start-date="2023-12-09" lims:enacted-date="2023-12-08" lims:fid="1430420" lims:id="1430420"><Label>(c)</Label><Text>copies of all documents on which it intends to rely, including if, applicable, all relevant extracts from reference-type="regulation" link="SOR-2023-269">Federal Prompt Payment for Construction Work Regulations (Criteria, Time Limits, Interest and Circumstances)</XRefExternal>, a new adjudicator must be appointed in accordance with the procedure established under section <XRefInternal>13</XRefInternal>, <XRefInternal>14</XRefInternal> or <XRefInternal>15</XRefInternal> of these
