lims:id="391604"><Label>(1)</Label><Text>In this Act,</Text><Definition lims:inforce-start-date="2002-12-31" lims:fid="391605" lims:id="391605"><Text><DefinedTermEn>Minister</DefinedTermEn> means such member of the Queen’s Privy Council for Canada as is designated by the Governor in Council as the Minister for the purposes of this Act or, if no member is so designated, the Minister of State (Privatization and Regulatory Affairs); (<DefinedTermFr>ministre</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="391606" lims:id="391606"><Text><DefinedTermEn>Petro-Canada</DefinedTermEn> means the corporation given that name by subsection 4(1); (<DefinedTermFr>Petro-Canada</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="391607" lims:id="391607"><Text><DefinedTermEn>Petro-Canada Limited</DefinedTermEn> means the corporation given that name by subsection 4(2). (<DefinedTermFr>Petro-Canada Limitée</DefinedTermFr>)</Text></Definition></Subsection><Subsection Act</XRefExternal></MarginalNote><Label>(3)</Label><Text>In the event of any inconsistency between this Act and the <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal>, or anything issued, made or established under that Act, this Act prevails to the extent of the inconsistency.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391612" lims:id="391612"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391613" lims:id="391613">Operation of <XRefExternal reference-type="act" link="C-34">Competition Inc., a corporation incorporated under the <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal>, are hereby amended to change its name from “Petro-Canada Inc.” in English and French to “Petro-Canada” in both languages.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391623" lims:id="391623"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391624" lims:id="391624">Change of name of Petro-Canada</MarginalNote><Label>(2)</Label><Text>The name of Petro-Canada, a corporation established by the <XRefExternal reference-type="act">Petro-Canada Act</XRefExternal>, chapter P-11 of the Revised Statutes of Canada, 1985, is hereby changed to “Petro-Canada Limited” in English and “Petro-Canada lims:fid="391633" lims:id="391633">Dealing with shares</MarginalNote><Label>6</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391634" lims:id="391634"><Label>(1)</Label><Text>The Minister is hereby authorized to</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391635" lims:id="391635"><Label>(a)</Label><Text>acquire, hold, dispose of and otherwise deal with shares and debt obligations of, and security interests in, Petro-Canada; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391636" lims:id="391636"><Label>(b)</Label><Text>enter into any agreement or arrangement necessary for or incidental to any activity referred to in paragraph (a).</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391637" lims:id="391637"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391638" lims:id="391638">Registration of shares</MarginalNote><Label>(2)</Label><Text>Shares of Petro-Canada acquired by the Minister shall be registered in the name of the Minister in the books of Petro-Canada and shall be held by the Minister in trust for Her Majesty in right of Canada.</Text></Subsection></Section><Heading lims:inforce-start-date="2002-12-31" lims:fid="391639" lims:id="391639" level="1"><TitleText>Sale of Shares by Petro-Canada</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="391640" lims:id="391640"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391641" lims:id="391641">Issue and disposal of shares</MarginalNote><Label>7</Label><Text>Petro-Canada is hereby authorized to issue and sell or otherwise dispose of shares of Petro-Canada.</Text></Section><Heading lims:inforce-start-date="2002-12-31" lims:fid="391642" lims:id="391642" level="1"><TitleText>Reorganization of Petro-Canada</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="391643" lims:id="391643"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391644" lims:id="391644">Articles of amendment</MarginalNote><Label>8</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391645" lims:id="391645"><Label>(1)</Label><Text>Forthwith after this section comes into force, Petro-Canada shall submit to the Minister for approval articles of amendment prepared in accordance with section 9.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391646" lims:id="391646"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391647" lims:id="391647">Submission to Director</MarginalNote><Label>(2)</Label><Text>Forthwith after the Minister approves articles of amendment submitted pursuant to subsection (1), Petro-Canada shall send the approved articles to the Director.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391648" lims:id="391648"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391649" lims:id="391649">Presumption</MarginalNote><Label>(3)</Label><Text>Articles of amendment sent to the Director pursuant to this section are, subject to this Act, deemed for all purposes to have been sent under section 177 of the <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal>.</Text></Subsection><HistoricalNote><HistoricalNoteSubItem lims:inforce-start-date="2002-12-31" lims:fid="391651" lims:id="391651">1991, c. 10, s. 8; 1994, c. 24, s. 34(F)</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="391652" lims:id="391652"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391653" lims:id="391653">Mandatory provisions in articles of amendment</MarginalNote><Label>9</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391654" lims:id="391654"><Label>(1)</Label><Text>The articles of amendment for Petro-Canada shall contain</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391655" lims:id="391655"><Label>(a)</Label><Text>provisions imposing constraints on the issue, transfer and ownership, including joint ownership, of voting shares of Petro-Canada to prevent any one person, together with the associates of that person, from holding, beneficially owning or controlling, directly or indirectly, otherwise than by way of security only, in the aggregate voting shares to which are attached more than twenty per cent of the votes that may ordinarily be cast to elect directors of Petro-Canada, other than votes that may be so cast by or on behalf of the Minister;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391656" lims:id="391656"><Label>(b) and (c)</Label><Text><Repealed>[Repealed, 2001, c. 18, s. 2]</Repealed></Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391657" lims:id="391657"><Label>(d)</Label><Text>provisions preventing Petro-Canada from selling, transferring or otherwise disposing of, whether by one transaction or event or several related transactions or events, all or substantially all of its assets to any one person or group of associated persons or to non-residents, otherwise than by way of security only in connection with the financing of Petro-Canada;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391658" lims:id="391658"><Label>(e)</Label><Text>provisions requiring Petro-Canada to ensure that any member of the public can, in either official language, communicate with and obtain available services from</Text><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="391659" lims:id="391659"><Label>(i)</Label><Text>its head office, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="391660" lims:id="391660"><Label>(ii)</Label><Text>any of its other offices or facilities, and the head office and any other office or facility of any of its wholly-owned subsidiaries, where Petro-Canada determines that there is significant demand for communications with and services from that office or facility in that language having regard to the public served and the location of the office or facility;</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391661" lims:id="391661"><Label>(f)</Label><Text>provisions respecting the enforcement of the constraints imposed pursuant to paragraph (a); and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391662" lims:id="391662"><Label>(g)</Label><Text>provisions specifying that the head office of Petro-Canada is to be situated in Calgary, Alberta.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391663" lims:id="391663"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391664" lims:id="391664">Enforcement provisions</MarginalNote><Label>(2)</Label><Text>Without limiting the generality of paragraph (1)(f), the provisions referred to therein may provide for the filing of declarations, the suspension of voting rights, the forfeiture of dividends, the refusal of the issue or registration of voting shares and the sale of voting shares held contrary to the constraints and payment of the net proceeds of the sale to the person entitled thereto.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391665" lims:id="391665"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391666" lims:id="391666">Exemption for small transactions</MarginalNote><Label>(3)</Label><Text>Where the directors of Petro-Canada are of the reasonable opinion, from the central securities register of Petro-Canada or otherwise, that a subscriber for or a transferee of voting shares of Petro-Canada would, on acquiring the shares, hold, beneficially own or control voting shares to which are attached not more than the lesser of two one-hundredths of one per cent of the votes that may ordinarily be cast to elect directors of Petro-Canada and ten thousand such votes, the directors are entitled to assume that the subscriber or transferee is not and will not be an associate of anyone else and, unless the address to be recorded in the register for the subscriber or transferee is outside Canada, that the shares will not be held, beneficially owned or controlled in contravention of the articles of amendment for Petro-Canada.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391667" lims:id="391667"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391668" lims:id="391668">Exceptions</MarginalNote><Label>(4)</Label><Text>No provision imposing constraints pursuant to paragraph (1)(a) applies in respect of voting shares of Petro-Canada that are held</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391669" lims:id="391669"><Label>(a)</Label><Text>by the Minister in trust for Her Majesty in right of Canada;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391670" lims:id="391670"><Label>(b)</Label><Text>by one or more underwriters solely for the purpose of distributing the shares to the public; or</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391671" lims:id="391671"><Label>(c)</Label><Text>by any person who provides centralized facilities for the clearing of trades in securities and is acting in relation to trades in the shares solely as an intermediary in the payment of funds or the delivery of securities, or both.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391672" lims:id="391672"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391673" lims:id="391673">Associates</MarginalNote><Label>(5)</Label><Text>For the purposes of this section, a person is an associate of another person if</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391674" lims:id="391674"><Label>(a)</Label><Text>one is a corporation of which the other is an officer or director;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391675" lims:id="391675"><Label>(b)</Label><Text>one is a corporation that is controlled by the other or by a group of persons of which the other is a member;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391676" lims:id="391676"><Label>(c)</Label><Text>one is a partnership of which the other is a partner;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391677" lims:id="391677"><Label>(d)</Label><Text>one is a trust of which the other is a trustee;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391678" lims:id="391678"><Label>(e)</Label><Text>both are corporations controlled by the same person;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391679" lims:id="391679"><Label>(f)</Label><Text>both are members of a voting trust that relates to voting shares of Petro-Canada;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391680" lims:id="391680"><Label>(g)</Label><Text>both, in the reasonable opinion of the directors of Petro-Canada, are parties to an agreement or arrangement a purpose of which is to require them to act in concert with respect to their interests, direct or indirect, in Petro-Canada or are otherwise acting in concert with respect to those interests; or</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391681" lims:id="391681"><Label>(h)</Label><Text>both are at the same time associates, within the meaning of any of paragraphs (a) to (g), of the same person.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391682" lims:id="391682"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391683" lims:id="391683">Exceptions</MarginalNote><Label>(6)</Label><Text>Notwithstanding subsection (5), for the purposes of this section,</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391684" lims:id="391684"><Label>(a)</Label><Text>where a person who, but for this paragraph, would be an associate of another person submits to Petro-Canada a statutory declaration stating that</Text><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="391685" lims:id="391685"><Label>(i)</Label><Text>no voting shares of Petro-Canada held or to be held by the declarant are or will be, to the declarant’s knowledge, held in the right of, for the use or benefit of or under the control of, any other person of which, but for this paragraph, the declarant would be an associate, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="391686" lims:id="391686"><Label>(ii)</Label><Text>the declarant is not acting and will not act in concert with any such other person with respect to their interests, direct or indirect, in Petro-Canada,</Text></Subparagraph><ContinuedParagraph lims:inforce-start-date="2002-12-31" lims:fid="391687" lims:id="391687"><Text>the declarant and that other person are not associates so long as the directors of Petro-Canada are satisfied that the statements in the declaration are being complied with and that there are no other reasonable grounds for disregarding the declaration;</Text></ContinuedParagraph></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391688" lims:id="391688"><Label>(b)</Label><Text>two corporations are not associates pursuant to paragraph (5)(h) by reason only that under paragraph (5)(a) each is an associate of the same individual; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391689" lims:id="391689"><Label>(c)</Label><Text>where the directors of Petro-Canada are of the reasonable opinion, from the central securities register of Petro-Canada or otherwise, that any person holds, beneficially owns or controls voting shares to which are attached not more than the lesser of two one-hundredths of one per cent of the votes that may ordinarily be cast to elect directors of Petro-Canada and ten thousand such votes, that person is not an associate of anyone else and no one else is an associate of that person.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391690" lims:id="391690"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391691" lims:id="391691">Control</MarginalNote><Label>(7)</Label><Text>For the purposes of this section, <DefinedTermEn>control</DefinedTermEn> means control in any manner that results in control in fact, whether directly through the ownership of securities or indirectly through a trust, an agreement or arrangement, the ownership of any body corporate or otherwise, and, without limiting the generality of the foregoing,</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391692" lims:id="391692"><Label>(a)</Label><Text>a body corporate is deemed to be controlled by a person if</Text><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="391693" lims:id="391693"><Label>(i)</Label><Text>securities of the body corporate to which are attached more than fifty per cent of the votes that may be cast to elect directors of the body corporate are held, otherwise than by way of security only, by or for the benefit of that person, and</Text></Subparagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="391694" lims:id="391694"><Label>(ii)</Label><Text>the votes attached to those securities are sufficient, if exercised, to elect a majority of the directors of the body corporate; and</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391695" lims:id="391695"><Label>(b)</Label><Text>a partnership or unincorporated organization is deemed to be controlled by a person if an ownership interest therein representing more than fifty per cent of the assets of the partnership or organization is held, otherwise than by way of security only, by or for the benefit of that person.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391696" lims:id="391696"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391697" lims:id="391697">Definitions</MarginalNote><Label>(8)</Label><Text>In this section,</Text><Definition lims:inforce-start-date="2002-12-31" lims:fid="391698" lims:id="391698"><Text><DefinedTermEn>corporation</DefinedTermEn> includes a body corporate, partnership and unincorporated organization; (<DefinedTermFr>société</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="391699" lims:id="391699"><Text><DefinedTermEn>downstream assets</DefinedTermEn> means assets used in the refining of crude oil or in the distribution and marketing of refined petroleum products and related goods and services; (<DefinedTermFr>biens de commercialisation</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="391700" lims:id="391700"><Text><DefinedTermEn>non-resident</DefinedTermEn> means</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391701" lims:id="391701"><Label>(a)</Label><Text>an individual, other than a Canadian citizen, who is not ordinarily resident in Canada,</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391702" lims:id="391702"><Label>(b)</Label><Text>a corporation incorporated, formed or otherwise organized outside Canada,</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391703" lims:id="391703"><Label>(c)</Label><Text>a foreign government or an agency thereof,</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391704" lims:id="391704"><Label>(d)</Label><Text>a corporation controlled by non-residents as defined in any of paragraphs (a) to (c),</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391705" lims:id="391705"><Label>(e)</Label><Text>a trust</Text><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="391706" lims:id="391706"><Label>(i)</Label><Text>established by a non-resident as defined in any of paragraphs (b) to (d), other than a trust for the administration of a pension fund for the benefit of individuals a majority of whom are residents, or</Text></Subparagraph><Subparagraph lims:inforce-start-date="2002-12-31" lims:fid="391707" lims:id="391707"><Label>(ii)</Label><Text>in which non-residents as defined in any of paragraphs (a) to (d) have more than fifty per cent of the beneficial interest, or</Text></Subparagraph></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391708" lims:id="391708"><Label>(f)</Label><Text>a corporation that is controlled by a trust described in paragraph (e),</Text></Paragraph><ContinuedDefinition lims:inforce-start-date="2002-12-31" lims:fid="391709" lims:id="391709"><Text>but does not include</Text></ContinuedDefinition><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391710" lims:id="391710"><Label>(g)</Label><Text>a mutual company within the meaning of the <XRefExternal reference-type="act" link="I-11.8">Insurance Companies Act</XRefExternal>, if its head office and chief place of business are situated in Canada and at least three quarters of its board of directors and each committee of its directors are Canadian citizens who are ordinarily resident in Canada, or</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391711" lims:id="391711"><Label>(h)</Label><Text>a company within the meaning of that Act that is a subsidiary of a foreign institution within the meaning of that Act or a foreign company within the meaning of that Act, where the company or the foreign company is acquiring shares to form part of the assets of a segregated fund maintained pursuant to section 451 or 593 of that Act that has been established with respect to one or more policies or amounts for the administration of a pension fund for the benefit of individuals a majority of whom are residents; (<DefinedTermFr>non-résident</DefinedTermFr>)</Text></Paragraph></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="391712" lims:id="391712"><Text><DefinedTermEn>person</DefinedTermEn> includes any individual, corporation, government or agency thereof, trustee, executor, administrator and other legal representative; (<DefinedTermFr>personne</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="391713" lims:id="391713"><Text><DefinedTermEn>resident</DefinedTermEn> means an individual, corporation, government or agency thereof or trust that is not a non-resident; (<DefinedTermFr>résident</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="391714" lims:id="391714"><Text><DefinedTermEn>upstream assets</DefinedTermEn> means assets used in the exploration for, or in the development, production and marketing of, crude oil, natural gas, natural gas liquids, bitumen, synthetic oils and sulphur; (<DefinedTermFr>biens de production</DefinedTermFr>)</Text></Definition><Definition lims:inforce-start-date="2002-12-31" lims:fid="391715" lims:id="391715"><Text><DefinedTermEn>voting share</DefinedTermEn> means a share carrying a voting right under all circumstances or under some circumstances that have occurred and are continuing, and includes a security currently convertible into such a share and currently exercisable options and rights to acquire such a share or such a convertible security. (<DefinedTermFr>action avec droit de lims:id="391722" level="1"><TitleText>Financial Arrangements</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="391723" lims:id="391723"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391724" lims:id="391724">Discharge</MarginalNote><Label>11</Label><Text>The Minister of Finance, on behalf of Her Majesty in right of Canada, may</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391725" lims:id="391725"><Label>(a)</Label><Text>enter into an agreement or other arrangement with Petro-Canada Limited, Petro-Canada or any other person respecting the service or discharge of any debt or obligation incurred by Petro-Canada Limited; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391726" lims:id="391726"><Label>(b)</Label><Text>pay out of the Consolidated Revenue Fund such amounts as are necessary to service or discharge any such lims:inforce-start-date="2002-12-31" lims:fid="391728" lims:id="391728">Adjustment of accounts of Canada</MarginalNote><Label>12</Label><Text>The Minister, after consultation with the President of the Treasury Board, shall cause such adjustments to be made in the accounts of Canada as are required as a result of any transaction authorized or required by this Act.</Text></Section><Heading lims:inforce-start-date="2002-12-31" lims:fid="391729" lims:id="391729" level="1"><TitleText>Petro-Canada International Assistance Corporation</TitleText></Heading><Section lims:inforce-start-date="2002-12-31" lims:lastAmendedDate="2002-12-31" lims:fid="391730" lims:id="391730"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391731" lims:id="391731">Transfer of shares</MarginalNote><Label>13</Label><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391732" lims:id="391732"><Label>(1)</Label><Text>Petro-Canada Limited is hereby authorized to transfer, and on the direction of the Governor in Council shall transfer, all the shares of Petro-Canada International Assistance Corporation held by Petro-Canada Limited to such member of the Queen’s Privy Council for Canada as the Governor in Council may designate as the Minister for the purposes of this section.</Text></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391733" lims:id="391733"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391734" lims:id="391734">Dealing with shares</MarginalNote><Label>(2)</Label><Text>The Minister designated pursuant to subsection (1) is hereby authorized to</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391735" lims:id="391735"><Label>(a)</Label><Text>acquire, hold, dispose of and otherwise deal with shares and debt obligations of, and security interests in, Petro-Canada International Assistance Corporation; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391736" lims:id="391736"><Label>(b)</Label><Text>enter into any agreement or arrangement necessary for or incidental to any activity referred to in paragraph (a).</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391737" lims:id="391737"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391738" office on the coming into force of this section cease to hold office when the directors first appointed under subsection (2) take office, unless re-appointed under that reference-type="act" link="P-36">Public Service Superannuation Act</XRefExternal>, the <XRefExternal reference-type="act" link="S-24">Supplementary Retirement Benefits Act</XRefExternal> and the regulations made under those Acts apply to any person who meets all of the following criteria:</Text><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391772" lims:id="391772"><Label>(a)</Label><Text>the person, on the coming into force of section 5, was employed by Petro-Canada Limited and was a contributor under the <XRefExternal reference-type="act" link="P-36">Public Service Superannuation Act</XRefExternal> and, immediately before the coming into force of this section, was employed by that corporation or Petro-Canada;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391773" lims:id="391773"><Label>(b)</Label><Text>the President of the Treasury Board has not made a payment to Petro-Canada Limited pursuant to section 40 of the <XRefExternal reference-type="act" link="P-36">Public Service Superannuation Act</XRefExternal> in respect of the pensionable service to that person’s credit under that Act immediately before the coming into force of this section;</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391774" lims:id="391774"><Label>(c)</Label><Text>the person has not received or opted to receive any annuity or other benefit under section 12 or 13 of the <XRefExternal reference-type="act" link="P-36">Public Service Superannuation Act</XRefExternal> in respect of the pensionable service to that person’s credit under that Act immediately before the coming into force of this section; and</Text></Paragraph><Paragraph lims:inforce-start-date="2002-12-31" lims:fid="391775" lims:id="391775"><Label>(d)</Label><Text>the person elects, within one year after the coming into force of this section and in such form and manner as the President of the Treasury Board may direct, to have the <XRefExternal reference-type="act" link="P-36">Public Service Superannuation Act</XRefExternal>, the <XRefExternal reference-type="act" link="S-24">Supplementary Retirement Benefits Act</XRefExternal> and the regulations made under those Acts apply to the person in the manner and to the extent provided by the regulations made under subsection (3).</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2002-12-31" lims:fid="391776" lims:id="391776"><MarginalNote lims:inforce-start-date="2002-12-31" lims:fid="391777" lims:id="391777">Election irrevocable</MarginalNote><Label>(2)</Label><Text>An election referred to in paragraph (1)(d) is
