in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413346" lims:id="1413346"><Text><DefinedTermEn>appropriate Minister</DefinedTermEn> has the same meaning as in section 2 of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>. (<DefinedTermFr>ministre compétent</DefinedTermFr>)</Text></Definition><Definition in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413347" lims:id="1413347"><Text><DefinedTermEn>Board</DefinedTermEn> means the board of directors of the Corporation. (<DefinedTermFr>conseil</DefinedTermFr>)</Text></Definition><Definition in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413348" lims:id="1413348"><Text><DefinedTermEn>Corporation</DefinedTermEn> means the Canada Innovation Corporation continued under section <XRefInternal>5</XRefInternal>. (<DefinedTermFr>Corporation</DefinedTermFr>)</Text></Definition><Definition in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413349" lims:id="1413349"><Text><DefinedTermEn>federal institution</DefinedTermEn> means</Text><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413350" lims:id="1413350"><Label>(a)</Label><Text>a <DefinitionRef>department</DefinitionRef>, as defined in section 2 of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>; or</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413351" lims:id="1413351"><Label>(b)</Label><Text>a <DefinitionRef>Crown corporation</DefinitionRef>, as defined in subsection 83(1) of that Act. (<DefinedTermFr>institution fédérale</DefinedTermFr>)</Text></Paragraph></Definition><Definition in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413352" lims:id="1413352"><Text><DefinedTermEn>Minister</DefinedTermEn> means the Minister of Industry or, if another federal minister is designated under section <XRefInternal>4</XRefInternal>, that minister.‍ (<DefinedTermFr>ministre</DefinedTermFr>)</Text></Definition></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413353" lims:id="1413353"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413354" lims:id="1413354">Inconsistency</MarginalNote><Label>3</Label><Text>In the event of any inconsistency between this Act and Part X of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>, this Act prevails to the extent of the inconsistency.</Text></Section><Heading lims:inforce-start-date="2023-06-22" lims:enacted-date="2023-06-22" lims:fid="1413355" lims:id="1413355" level="1"><TitleText>Designation of Minister</TitleText></Heading><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413356" lims:id="1413356"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413357" lims:id="1413357">Order in council</MarginalNote><Label>4</Label><Text>The Governor in Council may, by order, designate any federal minister to be the Minister referred to in this Act.</Text></Section><Heading lims:inforce-start-date="2023-06-22" lims:enacted-date="2023-06-22" lims:fid="1413358" lims:id="1413358" level="1"><TitleText>Continuation and Status</TitleText></Heading><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413359" lims:id="1413359"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413360" lims:id="1413360">Continuation</MarginalNote><Label>5</Label><Text>The Canada Innovation Corporation, incorporated under the <XRefExternal reference-type="act" link="C-44">Canada Business Corporations Act</XRefExternal>, is continued as a corporation under this Act.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413361" lims:id="1413361"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413362" lims:id="1413362">Head office</MarginalNote><Label>6</Label><Text>The head office of the Corporation is to be at a place in Canada that is designated by the Governor in Council.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413363" lims:id="1413363"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413364" lims:id="1413364">Not Crown agent</MarginalNote><Label>7</Label><Text>The Corporation is not an agent of His Majesty in right of Canada, except when</Text><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413365" lims:id="1413365"><Label>(a)</Label><Text>providing advice to a federal institution at the request of the appropriate Minister;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413366" lims:id="1413366"><Label>(b)</Label><Text>developing, delivering or administering programs under paragraph <XRefInternal>10</XRefInternal>(e);</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413367" lims:id="1413367"><Label>(c)</Label><Text>negotiating arrangements or agreements or carrying out any activities related to such arrangements or agreements under paragraph <XRefInternal>10</XRefInternal>(f); or</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413368" lims:id="1413368"><Label>(d)</Label><Text>carrying out any activity conducive to the carrying out of its purpose that the Governor in Council may, by order, specify.</Text></Paragraph></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413369" lims:id="1413369"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413370" lims:id="1413370">Capacity</MarginalNote><Label>8</Label><Text>In carrying out its purpose, the Corporation has the capacity, rights, powers and privileges of a natural person.</Text></Section><Heading lims:inforce-start-date="2023-06-22" lims:enacted-date="2023-06-22" lims:fid="1413371" lims:id="1413371" level="1"><TitleText>Purpose and Functions</TitleText></Heading><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413372" lims:id="1413372"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413373" lims:id="1413373">Purpose</MarginalNote><Label>9</Label><Text>The purpose of the Corporation is to maximize business investment in research and development across all sectors of the economy and in all regions of Canada to promote innovation-driven economic growth.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413374" lims:id="1413374"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413375" lims:id="1413375">Functions</MarginalNote><Label>10</Label><Text>In carrying out its purpose, the Corporation may</Text><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413376" lims:id="1413376"><Label>(a)</Label><Text>act as a centre of expertise on national and international industrial and technology trends;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413377" lims:id="1413377"><Label>(b)</Label><Text>promote the ownership and retention of intangible assets in Canada;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413378" lims:id="1413378"><Label>(c)</Label><Text>monitor, analyze and disseminate information on research and development in Canada, including for the purposes of supporting the evaluation of programs related to its purpose and improving those programs;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413379" lims:id="1413379"><Label>(d)</Label><Text>provide financial support, including in the form of grants, or advice;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413380" lims:id="1413380"><Label>(e)</Label><Text>at the request of the appropriate Minister, made after consultation by the appropriate Minister with the Minister, develop, deliver or administer a program on behalf of a federal institution to the extent that the Corporation is able to recover the incurred costs that are specified by the Board;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413381" lims:id="1413381"><Label>(f)</Label><Text>at the request of the appropriate Minister, made after consultation by the appropriate Minister with the Minister, negotiate arrangements or agreements with foreign entities on behalf of a federal institution or carry out any activities related to such arrangements or agreements on behalf of a federal institution; and</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413382" lims:id="1413382"><Label>(g)</Label><Text>carry out any other function conducive to the carrying out of its purpose that the Governor in Council may, by order, specify.</Text></Paragraph></Section><Heading lims:inforce-start-date="2023-06-22" lims:enacted-date="2023-06-22" lims:fid="1413383" lims:id="1413383" level="1"><TitleText>Board, Chief Executive Officer and Employees</TitleText></Heading><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413384" lims:id="1413384"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413385" lims:id="1413385">Composition of Board</MarginalNote><Label>11</Label><Text>The Board consists of a chairperson and not fewer than four and not more than 11 other directors.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413386" lims:id="1413386"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413387" lims:id="1413387">Appointment of directors</MarginalNote><Label>12</Label><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413388" lims:id="1413388"><Label>(1)</Label><Text>Each director, other than the chairperson, is to be appointed by the Minister, after consultation by the Minister with the Minister of Finance and the Board and with the approval of the Governor in Council, for a term of not more than four years that will ensure, to the extent possible, the expiry in any one year of the terms of office of not more than one half of the directors.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413389" lims:id="1413389"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413390" lims:id="1413390">Federal public administration</MarginalNote><Label>(2)</Label><Text>No more than two of the directors appointed under subsection (1) may be appointed from among persons who occupy a position in the federal public administration.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413391" lims:id="1413391"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413392" lims:id="1413392">Appointment of chairperson</MarginalNote><Label>(3)</Label><Text>The chairperson is to be appointed by the Minister, after consultation by the Minister with the Minister of Finance and the Board and with the approval of the Governor in Council, for a term that the Governor in Council considers appropriate.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413393" lims:id="1413393"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413394" lims:id="1413394">Ineligibility — chairperson</MarginalNote><Label>(4)</Label><Text>A person is not eligible to be appointed or to continue as the chairperson if they occupy a position in the federal public administration.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413395" lims:id="1413395"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413396" lims:id="1413396">Continuation in office</MarginalNote><Label>(5)</Label><Text>The chairperson may, with the authorization of the Board, continue in office after the expiration of their term of office until the earlier of</Text><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413397" lims:id="1413397"><Label>(a)</Label><Text>the 180th day after the day on which their term of office ends, and</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413398" lims:id="1413398"><Label>(b)</Label><Text>the day on which they are reappointed or their successor is appointed.</Text></Paragraph></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413399" lims:id="1413399"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413400" lims:id="1413400">Absence or incapacity — chairperson</MarginalNote><Label>(6)</Label><Text>If the chairperson is absent or unable to act or the office of chairperson is vacant, the Board may authorize one of the other directors to act as chairperson, but that person is not authorized to act as chairperson for a period of more than 180 days without the approval of the Governor in Council.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413401" lims:id="1413401"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413402" lims:id="1413402">Removal from office</MarginalNote><Label>(7)</Label><Text>The chairperson and each of the other directors holds office during pleasure and may be removed by the Minister after consultation by the Minister with the Minister of Finance and the Board and with the approval of the Governor in Council.</Text></Subsection></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413403" lims:id="1413403"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413404" lims:id="1413404">Appointment of chief executive officer</MarginalNote><Label>13</Label><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413405" lims:id="1413405"><Label>(1)</Label><Text>The chief executive officer of the Corporation is to be appointed by the Minister, after consultation by the Minister with the Minister of Finance, from among persons nominated by the Board, for a term that the Minister considers appropriate.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413406" lims:id="1413406"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413407" lims:id="1413407">No overlapping offices</MarginalNote><Label>(2)</Label><Text>A person is not entitled to hold the offices of director and chief executive officer at the same time.</Text></Subsection><Subsection in-force="no" lims:id="1413409">Reappointment</MarginalNote><Label>(3)</Label><Text>The chief executive officer is eligible to be reappointed at the end of their term of office.</Text></Subsection><Subsection lims:fid="1413419" lims:id="1413419">Attendance of chief executive officer at meetings</MarginalNote><Label>14</Label><Text>Subject to any by-law of the Board, the chief executive officer may attend meetings of the Board or any committee of the Board.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413420" lims:id="1413420"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413421" lims:id="1413421">Accident compensation</MarginalNote><Label>15</Label><Text>The directors, chief executive officer and employees of the Corporation are deemed to be employees for the purposes of the <XRefExternal reference-type="act" link="G-5">Government Employees Compensation Act</XRefExternal> and to be employed in the federal public administration for the purposes of any regulations made under section 9 of the <XRefExternal reference-type="act" link="A-2">Aeronautics Act</XRefExternal>.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413422" lims:id="1413422"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413423" lims:id="1413423">Guidelines</MarginalNote><Label>16</Label><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413424" lims:id="1413424"><Label>(1)</Label><Text>The Board must establish guidelines respecting conflicts of interest and confidential information.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413425" lims:id="1413425"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413426" lims:id="1413426">Copy to Minister</MarginalNote><Label>(2)</Label><Text>The Board must, after establishing or modifying the guidelines, provide a copy of the guidelines to the Minister.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413427" lims:id="1413427"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413428" lims:id="1413428">Modifications</MarginalNote><Label>(3)</Label><Text>The Minister may, after consulting the Board, modify the guidelines respecting conflicts of interest as they apply to the chief executive officer.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413429" lims:id="1413429"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413430" lims:id="1413430">Sections 116 and 117 of <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal></MarginalNote><Label>(4)</Label><Text>The guidelines respecting conflicts of interest must be consistent with sections 116 and 117 of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>.</Text></Subsection></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413431" lims:fid="1413437" lims:id="1413437">By-laws</MarginalNote><Label>(3)</Label><Text>The Board may make by-laws respecting the committee, including respecting the matters relating to the provision of financial support on which it is to advise the Corporation and respecting the expertise of its members.</Text></Subsection></Section><Heading lims:inforce-start-date="2023-06-22" lims:enacted-date="2023-06-22" lims:fid="1413438" lims:id="1413438" level="1"><TitleText>Miscellaneous Provisions</TitleText></Heading><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413439" lims:id="1413439"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413440" lims:id="1413440">Restriction on directives</MarginalNote><Label>18</Label><Text>A directive must not be given to the Corporation under subsection 89(1) of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal> requiring the Corporation to provide financial support to a specific entity or a group of specific entities or requiring the Corporation to provide advice to a specific entity or a group of specific lims:id="1413443"><Label>(1)</Label><Text>The Corporation may disclose any information in its possession to a federal institution if that disclosure is related to the carrying out of the Corporation’s purpose.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413444" lims:id="1413444"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413445" lims:id="1413445">Disclosure of information to Corporation</MarginalNote><Label>(2)</Label><Text>A federal institution may disclose any information in its possession to the Corporation if that disclosure is related to the carrying out of the Corporation’s purpose.</Text></Subsection></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413446" lims:id="1413450"><Label>(b)</Label><Text>for the financial year ending March 31, 2025, $775,000,000;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413451" lims:id="1413451"><Label>(c)</Label><Text>for the financial year ending March 31, 2026, $800,000,000;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413452" lims:id="1413452"><Label>(d)</Label><Text>for the financial year ending March 31, 2027, $800,000,000; and</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413453" lims:id="1413453"><Label>(e)</Label><Text>for each subsequent financial year, $525,000,000.</Text></Paragraph></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413454" lims:id="1413454"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413455" lims:id="1413455">Withholding of payment</MarginalNote><Label>(2)</Label><Text>The Minister may, with the approval of the Minister of Finance, withhold all or part of the payment for a financial year.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413456" lims:id="1413456"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413457" lims:id="1413457">Consultation with Board</MarginalNote><Label>(3)</Label><Text>The Minister must consult the Board before withholding all or part of a payment.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413458" lims:id="1413458"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413459" lims:id="1413459">Report</MarginalNote><Label>(4)</Label><Text>If the Minister withholds a payment, the Minister must cause a report setting out the reasons for withholding the payment to be tabled in each House of Parliament on any of the first 15 days on which that House is sitting after the payment has been withheld.</Text></Subsection></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413460" lims:id="1413460"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413461" lims:id="1413461">Payments to Receiver General</MarginalNote><Label>21</Label><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413462" lims:id="1413462"><Label>(1)</Label><Text>Within three months after the end of each financial year, the Corporation must pay to the Receiver General the money of the Corporation that was in excess of link="F-11">Financial Administration Act</XRefExternal> do not apply in respect of the Corporation.</Text></Subsection></Section><Section in-force="no" lims:enacted-date="2023-06-22" year of the Corporation is the period of 12 months beginning on April 1 and ending on the next March 31.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413467" lims:id="1413467"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413468" lims:id="1413468">Quarterly financial reports</MarginalNote><Label>23</Label><Text>The following information must be included in the quarterly financial report that the Corporation is required to cause to be prepared under subsection 131.1(1) of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>:</Text><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413469" lims:id="1413469"><Label>(a)</Label><Text>the name of each entity with which the Corporation entered into an agreement or arrangement in that quarter to provide financial support; and</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413470" lims:id="1413470"><Label>(b)</Label><Text>the amount of the financial support provided for in each agreement or arrangement.</Text></Paragraph></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413471" lims:id="1413471"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413472" lims:id="1413472">Annual reports</MarginalNote><Label>24</Label><Text>The following information must be included in the annual report that the Corporation is required to submit under subsection 150(1) of the <XRefExternal reference-type="act" link="F-11">Financial Administration Act</XRefExternal>:</Text><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413473" lims:id="1413473"><Label>(a)</Label><Text>information relating to each program that it developed, delivered or administered under paragraph <XRefInternal>10</XRefInternal>(e) in the financial year;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413474" lims:id="1413474"><Label>(b)</Label><Text>the name of each entity to which it provided financial support of $100,000 or more in that year and the amount of that financial support; and</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413475" lims:id="1413475"><Label>(c)</Label><Text>the number of entities to which it provided financial support of less than $100,000 in that year and the total amount of the financial support provided to lims:fid="1413481" lims:id="1413481"><Text><DefinedTermEn>new Corporation</DefinedTermEn> means the Canada Innovation Corporation continued under section <XRefInternal>5</XRefInternal>. (<DefinedTermFr>nouvelle Corporation</DefinedTermFr>)</Text></Definition></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413482" lims:id="1413482"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413483" lims:id="1413483">Copy of order provided to Director</MarginalNote><Label>26</Label><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413484" lims:id="1413484"><Label>(1)</Label><Text>The Minister must provide the Director with a copy of the order made under subsection order is deemed to be a notice referred to in subsection 188(7) of that Act, satisfactory to the Director, that the former Corporation has been continued under one of the Acts referred to in lims:enacted-date="2023-06-22" lims:fid="1413488" lims:id="1413488">Transfer of shares</MarginalNote><Label>27</Label><Text>All the shares of the former Corporation are transferred to the Minister to hold in trust for His Majesty in Right of Canada.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413489" lims:id="1413489"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413490" lims:id="1413490">Chairperson’s interim powers</MarginalNote><Label>28</Label><Text>During the period beginning on the day on which this section comes into force and ending on the day on which at least four other directors are in office, the chairperson comprises the Board and may exercise all the powers of the Board.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413491" lims:id="1413491"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413492" lims:id="1413492">Rights preserved</MarginalNote><Label>29</Label><Text>For greater certainty,</Text><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413493" lims:id="1413493"><Label>(a)</Label><Text>subject to subsections <XRefInternal>12</XRefInternal>(7) and <XRefInternal>13</XRefInternal>(6), the chairperson, directors and chief executive officer of the former Corporation who hold office immediately before the day on which this section comes into force continue to hold office as the chairperson, directors and chief executive officer, respectively, of the new Corporation for the remainder of the term for which they were appointed;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413494" lims:id="1413494"><Label>(b)</Label><Text>the property and rights of the former Corporation continue to be the property and rights of the new Corporation;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413495" lims:id="1413495"><Label>(c)</Label><Text>the new Corporation continues to be liable for the obligations of the former Corporation;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413496" lims:id="1413496"><Label>(d)</Label><Text>unless the context otherwise requires, every reference to the former Corporation in any contract, instrument or act or other document executed or signed by the former Corporation is to be read as a reference to the new Corporation;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413497" lims:id="1413497"><Label>(e)</Label><Text>an existing cause of action, claim or liability to prosecution relating to the former Corporation is unaffected;</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413498" lims:id="1413498"><Label>(f)</Label><Text>a civil, criminal or administrative action or proceeding pending by or against the former Corporation may be continued by or against the new Corporation; and</Text></Paragraph><Paragraph in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413499" lims:id="1413499"><Label>(g)</Label><Text>a conviction against, or ruling, order or judgment in favour of or against, the former Corporation may be enforced by or against the new Corporation.</Text></Paragraph></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413500" lims:id="1413500"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413501" lims:id="1413501">Industrial Research Assistance Program</MarginalNote><Label>30</Label><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413502" lims:id="1413502"><Label>(1)</Label><Text>Any person who, immediately before the day on which this section comes into force, occupied a position within the Industrial Research Assistance Program of the National Research Council of Canada, beginning on that day, occupies their position within the new Corporation.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413503" lims:id="1413503"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413504" lims:id="1413504">No change in status</MarginalNote><Label>(2)</Label><Text>Nothing in subsection (1) or in any regulations made under section <XRefInternal>35</XRefInternal> is to be construed as affecting the status of such a person except that, beginning on the day on which this section comes into force, the person occupies their position within the new Corporation.</Text></Subsection><Subsection in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413505" lims:id="1413505"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413506" lims:id="1413506">Managerial or confidential position</MarginalNote><Label>(3)</Label><Text>For greater certainty, a person’s status includes whether or not they occupy a managerial or confidential position.</Text></Subsection></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413507" lims:id="1413507"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413508" lims:id="1413508">Transfer of appropriations</MarginalNote><Label>31</Label><Text>If this section comes into force before March 31, 2024, any money that is appropriated by an Act of Parliament, for the financial year in which this section comes into force, to defray any expenditure of the National Research Council of Canada that is related to the Industrial Research Assistance Program and that, on the day on which this section comes into force, is unexpended is deemed, on that day, to be an amount appropriated to defray any expenditure of the new Corporation. The Minister must pay that amount to the new Corporation.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413509" lims:id="1413509"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413510" lims:id="1413510">Transfer of rights, property and obligations</MarginalNote><Label>32</Label><Text>All rights and property of the National Research Council of Canada that are related to the Industrial Research Assistance Program and of His Majesty in right of Canada that are under the administration and control of the National Research Council of Canada and are related to the Industrial Research Assistance Program and all obligations of the National Research Council of Canada that are related to the Industrial Research Assistance Program are transferred to the new Corporation.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413511" lims:id="1413511"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413512" lims:id="1413512">Transfer of powers, duties and functions</MarginalNote><Label>33</Label><Text>If a power, duty or function is, under any contract, lease, licence or other document, vested in or exercisable by a person who, immediately before the day on which this section comes into force, occupied a position within the Industrial Research Assistance Program of the National Research Council of Canada, the power, duty or function is vested in and is to be exercised by the new Corporation.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413513" lims:id="1413513"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413514" lims:id="1413514">Information about Industrial Research Assistance Program</MarginalNote><Label>34</Label><Text>The National Research Council of Canada may disclose any information that is under its control and that is related to the Industrial Research Assistance Program to the new Corporation.</Text></Section><Section in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413515" lims:id="1413515"><MarginalNote in-force="no" lims:enacted-date="2023-06-22" lims:fid="1413516" lims:id="1413516">Regulations</MarginalNote><Label>35</Label><Text>The Governor in Council may make regulations respecting the transfer of the Industrial Research Assistance Program of the National Research Council of Canada to the new Corporation, including regulations respecting the manner in which rights, property and obligations are to be transferred under section <XRefInternal>32</XRefInternal> and any restrictions on those transfers.</Text></Section></Body></Statute>
