2018, c. 12, s. 247</HistoricalNoteSubItem></HistoricalNote></Section><Heading lims:inforce-start-date="2015-06-01" lims:fid="69903" lims:id="69903" level="1"><TitleText>Designation</TitleText></Heading><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="69904" lims:id="69904"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69905" lims:id="69905">Designation of Minister</MarginalNote><Label>3</Label><Text>The Governor in Council may, by order, designate any federal minister to be the Minister referred to in this Act.</Text></Section><Heading lims:inforce-start-date="2015-06-01" lims:fid="69906" lims:id="69906" level="1"><TitleText>CHARS Established</TitleText></Heading><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="69907" lims:id="69907"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69908" lims:id="69908">CHARS established</MarginalNote><Label>4</Label><Subsection lims:inforce-start-date="2015-06-01" lims:fid="69909" lims:id="69909"><Label>(1)</Label><Text>A corporation is established to be called the Canadian High Arctic Research Station.</Text></Subsection><Subsection lims:inforce-start-date="2015-06-01" lims:fid="69910" lims:id="69910"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69911" lims:id="69911">Agent of Her Majesty</MarginalNote><Label>(2)</Label><Text>CHARS is for all its purposes an agent of Her Majesty in right of Canada and it may exercise its powers only as an agent of Her Majesty.</Text></Subsection></Section><Heading lims:inforce-start-date="2015-06-01" lims:fid="69912" lims:id="69912" level="1"><TitleText>Purpose</TitleText></Heading><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="69913" lims:id="69913"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69914" lims:id="69914">Purpose</MarginalNote><Label>5</Label><Text>The purpose of CHARS is to</Text><Paragraph lims:inforce-start-date="2015-06-01" lims:fid="69915" lims:id="69915"><Label>(a)</Label><Text>advance knowledge of the Canadian Arctic in order to improve economic opportunities, environmental stewardship and the quality of life of its residents and all other Canadians;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-06-01" lims:fid="69916" lims:id="69916"><Label>(b)</Label><Text>promote the development and dissemination of knowledge of the other circumpolar regions, including the Antarctic;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-06-01" lims:fid="69917" lims:id="69917"><Label>(c)</Label><Text>strengthen Canada’s leadership on Arctic issues; and</Text></Paragraph><Paragraph lims:inforce-start-date="2015-06-01" lims:fid="69918" lims:id="69918"><Label>(d)</Label><Text>establish a hub for scientific research in the Canadian Arctic.</Text></Paragraph></Section><Heading lims:inforce-start-date="2015-06-01" lims:fid="69919" lims:id="69919" level="1"><TitleText>Powers and Functions</TitleText></Heading><Section lims:inforce-start-date="2018-06-21" lims:lastAmendedDate="2018-06-21" lims:fid="69920" lims:id="69920"><MarginalNote lims:inforce-start-date="2018-06-21" lims:fid="69921" lims:id="69921">CHARS — functions</MarginalNote><Label>6</Label><Subsection lims:inforce-start-date="2018-06-21" lims:fid="69922" lims:id="69922"><Label>(1)</Label><Text>In carrying out its purpose, CHARS is to</Text><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69923" lims:id="69923"><Label>(a)</Label><Text>undertake scientific research and develop technology;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69924" lims:id="69924"><Label>(b)</Label><Text>plan, direct, manage and implement programs and projects relating to scientific research and the development of technology;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69925" lims:id="69925"><Label>(c)</Label><Text>promote the testing, application, transfer, diffusion and commercialization of technology;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69926" lims:id="69926"><Label>(d)</Label><Text>encourage integration across disciplines and activities;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69927" lims:id="69927"><Label>(e)</Label><Text>publish and disseminate studies, reports and other documents;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69928" lims:id="69928"><Label>(f)</Label><Text>complement national and international networks of expertise and of facilities; and</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69929" lims:id="69929"><Label>(g)</Label><Text>perform any other functions that the Minister assigns to it.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2018-06-21" lims:fid="69930" lims:id="69930"><MarginalNote lims:inforce-start-date="2018-06-21" lims:fid="69931" lims:id="69931">CHARS — powers</MarginalNote><Label>(2)</Label><Text>In carrying out its purpose, CHARS may</Text><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69932" lims:id="69932"><Label>(a)</Label><Text>construct, manage and operate research facilities and systems;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69933" lims:id="69933"><Label>(b)</Label><Text>spend any money that it receives through the conduct of its operations, in the fiscal year in which the money is received or in subsequent fiscal years;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69934" lims:id="69934"><Label>(c)</Label><Text>provide services and facilities to any department, board or agency of the Government of Canada, or to any other government or any organization or person;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69935" lims:id="69935"><Label>(d)</Label><Text>make recoverable expenditures on behalf of any department, board or agency of the Government of Canada, or on behalf of any other government or any organization or person;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69936" lims:id="69936"><Label>(e)</Label><Text>license, assign, sell or otherwise make available, and receive fees, royalties and payment for, any patent, copyright, industrial design, trademark, trade secret or other similar property right held, controlled or administered by CHARS;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69937" lims:id="69937"><Label>(f)</Label><Text>enter into contracts, agreements, memoranda of understanding or other arrangements in the name of Her Majesty in right of Canada or of CHARS;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69938" lims:id="69938"><Label>(g)</Label><Text>lease personal property or movables, acquire any money, securities or other personal property or movables, including by purchase, gift or bequest or legacy, and — subject to any terms of the acquisition — spend or invest the money or securities;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69939" lims:id="69939"><Label>(h)</Label><Text>acquire real property or immovables, have the administration of the real property or immovables or acquire a <DefinitionRef>licence</DefinitionRef> as defined in section 2 of the <XRefExternal reference-type="act" link="F-8.4">Federal Real Property and Federal Immovables Act</XRefExternal>;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69940" lims:id="69940"><Label>(i)</Label><Text>as lessor, lease any personal property or movables referred to in paragraph (g) or dispose by any means of property or movables acquired under that paragraph, subject to any terms on which the property or movables were acquired;</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69941" lims:id="69941"><Label>(j)</Label><Text>subject to any terms on which the real property or immovables were acquired, dispose of any real property or immovables or give a licence as defined in section 2 of the <XRefExternal reference-type="act" link="F-8.4">Federal Real Property and Federal Immovables Act</XRefExternal>; and</Text></Paragraph><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69942" lims:id="69942"><Label>(k)</Label><Text>undertake any other activities that the Board considers conducive to the furtherance of CHARS’s purpose and to the performance of its functions and exercise of its powers.</Text></Paragraph></Subsection><Subsection lims:inforce-start-date="2018-06-21" lims:fid="69943" lims:id="69943"><MarginalNote lims:inforce-start-date="2018-06-21" lims:fid="69944" lims:id="69944">Approval of Governor in Council</MarginalNote><Label>(3)</Label><Text>Despite paragraphs (2)(h) and (j), CHARS may acquire or dispose of real property or immovables only with the approval of the Governor in Council.</Text></Subsection><Subsection lims:inforce-start-date="2018-06-21" lims:fid="69945" lims:id="69945"><MarginalNote lims:inforce-start-date="2018-06-21" lims:fid="69946" lims:id="69946">Exception</MarginalNote><Label>(4)</Label><Text>Subsection (3) does not apply to any</Text><Paragraph lims:inforce-start-date="2018-06-21" lims:fid="69947" lims:id="69947"><Label>(a)</Label><Text>lease of real property or of an immovable; 2018, c. 12, s. 248</HistoricalNoteSubItem></HistoricalNote></Section><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="69956" lims:id="69956"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69957" lims:id="69957">Minister</MarginalNote><Label>7</Label><Subsection lims:inforce-start-date="2015-06-01" lims:fid="69958" lims:id="69958"><Label>(1)</Label><Text>The Minister may refer matters relating to Arctic science and technology to CHARS for its consideration.</Text></Subsection><Subsection lims:inforce-start-date="2015-06-01" lims:fid="69959" lims:id="69959"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69960" lims:id="69960">Advice</MarginalNote><Label>(2)</Label><Text>CHARS must advise the Minister in respect of any matter that is referred to it under subsection (1).</Text></Subsection><Subsection lims:inforce-start-date="2015-06-01" lims:fid="69961" lims:id="69961"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69962" lims:id="69962">Reports</MarginalNote><Label>(3)</Label><Text>The Minister may require CHARS to provide him or her with reports on its activities and operations, and may make such a report available to the public.</Text></Subsection></Section><Heading lims:inforce-start-date="2015-06-01" lims:fid="69963" lims:id="69963" level="1"><TitleText>Board of Directors</TitleText></Heading><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="69964" lims:id="69964"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69965" lims:id="69965">Oversight of CHARS</MarginalNote><Label>8</Label><Subsection lims:inforce-start-date="2015-06-01" lims:fid="69966" lims:id="69966"><Label>(1)</Label><Text>The organization and administration of CHARS are to be overseen by a Board of Directors consisting of nine members, including a Chairperson and a Vice-chairperson. The members of the Board are to be appointed by the Governor in Council to hold office on a part-time basis.</Text></Subsection><Subsection lims:inforce-start-date="2015-06-01" lims:fid="69967" lims:id="69967"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69968" lims:id="69968">Approval of plans and budgets</MarginalNote><Label>(2)</Label><Text>The Board’s oversight function includes approving CHARS’s science and technology plan as well as annual workplans and budgets referred to in subsection <XRefInternal>17</XRefInternal>(2).</Text></Subsection><Subsection lims:inforce-start-date="2015-06-01" lims:fid="69969" lims:id="69969"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69970" lims:id="69970">Qualifications of members</MarginalNote><Label>(3)</Label><Text>Persons appointed to the Board must have knowledge or experience that will assist CHARS in carrying out its purpose, having regard to the ethnic, linguistic and regional diversity of Canada’s Arctic.</Text></Subsection></Section><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="69971" lims:id="69971"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69972" lims:id="69972">Terms of office</MarginalNote><Label>9</Label><Subsection lims:inforce-start-date="2015-06-01" lims:fid="69973" lims:id="69973"><Label>(1)</Label><Text>Members of the Board are appointed to hold office during pleasure for terms of up to five years.</Text></Subsection><Subsection lims:inforce-start-date="2015-06-01" lims:fid="69974" lims:id="69974"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69975" lims:id="69975">Reappointment</MarginalNote><Label>(2)</Label><Text>A member of the Board is eligible for reappointment for a second term of office in the same or another lims:inforce-start-date="2015-06-01" lims:fid="69977" lims:id="69977">Remuneration</MarginalNote><Label>10</Label><Text>Members of the Board are to be paid the remuneration that is fixed by the lims:fid="69979" lims:id="69979">Expenses</MarginalNote><Label>11</Label><Text>Members of the Board are entitled to be paid reasonable travel and living expenses while absent from their ordinary place level="1"><TitleText>Chairperson</TitleText></Heading><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="69981" lims:id="69981"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="69982" lims:id="69982">Chairperson’s role</MarginalNote><Label>12</Label><Text>The Chairperson presides over meetings of the Board and performs any other duties that are assigned by the Board.</Text></Section><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="69983" lims:id="69983"><MarginalNote President of CHARS is to be appointed by the Governor in Council to hold office during pleasure on a full-time basis for a term of up to five years.</Text></Subsection><Subsection lims:id="70012">Supervision of CHARS employees</MarginalNote><Label>(2)</Label><Text>The President is to exercise supervision over and direction of the activities of the employees of lims:fid="70014" lims:id="70014">Human resources management</MarginalNote><Label>20</Label><Text>CHARS may, in the exercise of its authority in relation to human resources management,</Text><Paragraph lims:inforce-start-date="2015-06-01" lims:fid="70015" lims:id="70015"><Label>(a)</Label><Text>determine its requirements with respect to human resources and provide for the allocation and effective utilization of human resources;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-06-01" lims:fid="70016" lims:id="70016"><Label>(b)</Label><Text>provide for the classification of CHARS positions;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-06-01" lims:fid="70017" lims:id="70017"><Label>(c)</Label><Text>determine and regulate the pay to which its employees are entitled for services rendered, the hours of work and leave of those employees and any related matters;</Text></Paragraph><Paragraph lims:inforce-start-date="2015-06-01" lims:fid="70018" lims:id="70018"><Label>(d)</Label><Text>determine and regulate the payments that may be made to its employees by way of reimbursement for travel or other expenses and by way of allowances in respect of expenses and conditions arising out of their employment; and</Text></Paragraph><Paragraph lims:inforce-start-date="2015-06-01" lims:fid="70019" lims:id="70019"><Label>(e)</Label><Text>take any other measures that CHARS considers necessary for effective human resources management.</Text></Paragraph></Section><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="70020" lims:id="70020"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="70021" lims:id="70021">CHARS’s power to appoint</MarginalNote><Label>21</Label><Text>CHARS has the exclusive right and authority to appoint any employees that it considers necessary for carrying out its purpose.</Text></Section><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="70022" lims:id="70022"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="70023" lims:id="70023">Mobility to departments</MarginalNote><Label>22</Label><Subsection lims:inforce-start-date="2015-06-01" lims:fid="70024" lims:id="70024"><Label>(1)</Label><Text>For the purpose of deployments or appointments made, or advertised internal appointment processes, under the <XRefExternal reference-type="act" link="P-33.01">Public Service Employment Act</XRefExternal>, employees of CHARS must be treated as if they were employees within the meaning of that Act and had the rights of recourse provided by that Act.</Text></Subsection><Subsection lims:inforce-start-date="2015-06-01" lims:fid="70025" lims:id="70025"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="70026" lims:id="70026">When deployments made subject to terms</MarginalNote><Label>(2)</Label><Text>The Public Service Commission may, in consultation with the President of the Treasury Board, set terms and conditions for the deployment of CHARS’s employees to departments and agencies under the <XRefExternal reference-type="act" link="P-33.01">Public Service Employment Act</XRefExternal> if, in the opinion of the Commission, the principles governing CHARS’s staffing program are incompatible with those governing staffing under that Act.</Text></Subsection><Subsection lims:inforce-start-date="2015-06-01" lims:fid="70027" lims:id="70027"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="70028" lims:id="70028">Mobility to CHARS</MarginalNote><Label>(3)</Label><Text>When CHARS considers employees within the meaning of the <XRefExternal reference-type="act" link="P-33.01">Public Service Employment Act</XRefExternal> for employment within CHARS, it must treat them as if they were employees of CHARS and had the rights of recourse of CHARS’s compatibility of the principles governing CHARS’s staffing program with those governing staffing under the <XRefExternal reference-type="act" link="P-33.01">Public Service Employment Act</XRefExternal> and may report its findings in its annual report.</Text></Section><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="70031" lims:id="70031"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="70032" lims:id="70032">Political activities</MarginalNote><Label>24</Label><Text>Part 7 of the <XRefExternal reference-type="act" link="P-33.01">Public Service Employment Act</XRefExternal> applies to the President and employees of CHARS. For the purposes of that Part, the President is deemed to be a deputy head as defined in subsection 2(1) of that Act and the employees of CHARS are deemed to be employees as defined in that subsection.</Text></Section><Heading lims:inforce-start-date="2015-06-01" lims:fid="70033" lims:id="70033" level="1"><TitleText>Offices and Meetings</TitleText></Heading><Section lims:inforce-start-date="2015-06-01" lims:lastAmendedDate="2015-06-01" lims:fid="70034" lims:id="70034"><MarginalNote lims:inforce-start-date="2015-06-01" lims:fid="70035" lims:id="70035">Head office and other offices</MarginalNote><Label>25</Label><Text>CHARS’s head office is to be in Cambridge Bay, Nunavut.
